Constitution of ESTAWM

as adopted at the 2004 AGM.

The Articles of Association and Rules of the British Branch of the European String Teachers Association (known as ESTA UK) apply, and may be consulted on http://www.estaweb.org.uk. The following additional provisions apply to the West Midlands Regional Centre (known as ESTAWM).

1. Aims

1. To promote and serve as a focus for ESTA Regional Centre activities.
2. To encourage local string teachers and players to support ESTA and its events locally, nationally and internationally.
3. At all times to support and promote the published aims and objectives of ESTA UK.

2. Composition

1. Officers shall comprise a Chairperson, Secretary and Treasurer.
2. The Committee shall comprise the Officers plus between two and six ordinary members.
3. All will be subject to re-election at each AGM.

3. Functions of the Committee

1. To conduct the routine business of the Centre and to deal with all financial matters.
2. To arrange times, dates, venues, topics and charges for all Centre events.
3. To nominate one Committee member to be the Centre's representative at National Forum meetings. [The Centre should be represented at every NF meeting.]
4. To co-opt members as necessary.
5. To meet at least twice a year with a quorum of at least four of the Committee members present.

4. Annual General Meeting

1. An Annual General Meeting will be held every year to adopt the minutes of the previous General Meeting, to elect Officers and Committee members, to publish the annual accounts and to deal with any other relevant business.
2. Notice of the AGM will be circulated to members not less than 30 days before the date of the meeting.
3. Nominations will be sought for Officer and Committee members posts. Nominations in writing, signed by a proposer, seconder and the nominee, who must all be ESTA members, must reach the secretary not later than 14 days before the AGM.
4. Any vacancies remaining uncontested at the close of nominations may be filled by the Committee.
5. If an officer post becomes vacant during the year, the Committee may fill the vacancy with an ordinary member until the next AGM.
6. Only current ESTA members are entitled to vote at an AGM.
7. The quorum for an AGM will be the total number of Committee members plus one. If inquorate, the AGM will be rescheduled for not less than 40 days from the original date, at which time the members present will constitute a quorum.
